Manoharyug Dealer Agreement – Terms & Conditions
By applying to become a ManoharYug Dealer, you agree to the following terms and conditions between Fitmaan Technologies Pvt. Ltd. (“Company”) and you (“Dealer”).
1. Appointment
- The Company appoints you as an authorized Dealer to sell and promote ManoharYug products in your assigned area.
- This appointment is based on the conditions in this Agreement.
2. Your Responsibilities as a Dealer
2.1 Inventory & Display
- Keep a reasonable stock of products (when required).
- Maintain clean, organized product displays in your shop.
2.2 Farmer Engagement
- Actively promote ManoharYug products to farmers.
- Guide them on correct usage and benefits.
2.3 Product Knowledge
- Attend company or distributor training.
- Train your staff to understand and explain products.
2.4 Orders & Delivery
- Place orders through offline or online systems.
- Coordinate with the distributor for timely delivery.
2.5 Branding
- Use only approved ManoharYug banners, posters, and brochures.
- Do not display unapproved branding.
3. Pricing, Payment & Commission
- Products will be sold to you at company-fixed prices (may vary by season, demand, or market conditions).
- You will earn a pre-defined margin per sale.
- Special schemes or discounts will be communicated separately.
4. Sales Targets & Performance
- Work toward agreed-upon sales volumes in your region.
- The Company or distributor may review your performance periodically.
5. Territory & Exclusivity
5.1 Exclusive Area (Density-Based)
- Dealership rights are assigned based on population and market potential.
- Your territory is exclusive — no other ManoharYug dealer will operate there.
5.2 One Dealer per Gram Panchayat
- Only one dealer will be appointed per Gram Panchayat (covering 10–15 villages).
- This protects your market and avoids competition.
6. Dealer Enrollment Fee
- Joining fee: ₹30,000.
7. Transfer of Dealership
- After 6 months of operation, you may transfer your dealership with company approval.
8. Early Dealer Bonus
- If you joined early, you may receive a one-time ₹30,000 bonus (or products worth that value) after completing 1 fiscal year.
9. Exclusivity & Non-Compete
- You may sell only ManoharYug products in your assigned area.
- No competing agri-products without written permission.
- For 1 year after termination, you cannot sell competing products in your area.
10. Intellectual Property
- You can use ManoharYug trademarks and branding only to promote ManoharYug products.
- No ownership rights are transferred.
11. Confidentiality
- Keep all company pricing, customer data, and business information confidential — even after this Agreement ends.
12. Term & Ending the Agreement
- This Agreement stays in effect until ended by either party.
- Either side can give 30 days’ written notice to end it.
- Immediate termination can happen if you:
- Break any term of this Agreement
- Commit fraud or misrepresentation
- Remain inactive for more than 60 days
- Upon termination:
- Stop using ManoharYug branding
- Return unused promotional material
- Clear all outstanding dues immediately
13. Disputes
- We will try to resolve disputes amicably first.
- If not possible, disputes will go to arbitration under the Arbitration and Conciliation Act, 1996.
- Arbitration will be held in Nagpur, in English.
- Courts in Nagpur will have exclusive jurisdiction.
14. Other Conditions
- Official notices will be sent via post, courier, or email.
- This is the entire agreement between you and the Company.
- The Company is not liable for delays or disruptions caused by force majeure events.
- Changes to these terms must be in writing and signed by both parties.
